Terms of Service

By creating an account or using Mervin ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.
These Terms form a binding agreement between you and Mervin ("we", "us").
2. The Service
Mervin lets freelancers and businesses create and send invoices and accept payments. We use Whop to send invoices, accept payments, verify identity (KYC), hold balances, and make payouts. Whop is not itself a payment processor; payments are processed by third-party payment processors engaged through Whop, which may vary by country and payment method. Your use of Whop is governed by Whop's own terms.
We may add, change, or remove features at any time.
3. Accounts and eligibility
You must be at least 18 and able to form a binding contract. You are responsible for activity under your account and for keeping your credentials secure.
You sign in by email or with Whop. If you use Whop sign-in, it is also governed by Whop's terms.
4. Your responsibilities
You are solely responsible for the content and accuracy of the invoices you create, for the legality of the goods or services you bill for, and for collecting and remitting any applicable taxes.
You agree not to use the Service for fraudulent, deceptive, or unlawful purposes.
5. Payments, fees and payouts
Invoices are sent and payments accepted through Whop; the payments themselves are processed by third-party payment processors facilitated through Whop. To receive funds you must complete identity verification and add a payout method through Whop. Payment processor and Whop fees may apply to transactions.
We charge a platform fee per paid invoice. Payment-processing, payout, and related network fees set by Whop and its payment processors also apply and are deducted from amounts you receive. Current fees are summarised on our Fees page, which forms part of these Terms. We may update fees from time to time; material changes will be communicated in the app before they take effect. You authorise us to collect our platform fee through the Whop platform.
6. Acceptable use
You may not misuse the Service, attempt to disrupt it, access it without authorisation, or use it to send spam or infringe others' rights.
7. Intellectual property
The Service, excluding your content, is owned by us and our licensors. You retain ownership of the invoice and business content you submit, and grant us a licence to host and process it to provide the Service.
8. Whop and third-party terms
The Service relies on third parties including Whop (invoicing, accepting payments, and payouts), the third-party payment processors Whop works with, and our hosting and infrastructure providers. We are not responsible for third-party services, which are governed by their own terms.
By using the Service to send invoices and receive payments, you also agree to Whop's Terms of Service and Seller Terms, and you acknowledge Whop's Privacy Policy. Customers who pay your invoices do so through Whop and are subject to Whop's Buyer Terms.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid us in the 12 months before the claim.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these terms or to comply with law. Outstanding payment obligations survive termination.
12. Changes to these terms
We may update these terms from time to time. Material changes will be notified in the app or by email; continued use after changes means you accept them.
13. Governing law
These Terms are governed by the laws of England and Wales. Where you or your customers are located in the United States, applicable United States federal and state laws also apply to the extent they are mandatory. Disputes will be resolved in the courts of England and Wales, except where mandatory law entitles a United States user to bring proceedings in their home jurisdiction.
